About Us

The Senior Coordination Aging Network (SCAN) of Oakland County (SCAN I) and Macomb County (SCAN II) is a professional networking and advocate group serving older adults living in Oakland and Macomb Counties. SCAN is a non-profit coalition of individuals from public, private, and non-profit agencies who are interested in pursuing strategies and approaches for enhanced coordination of services and programs for the aging. SCAN’s professional service providers and owners meet six times per year to learn from industry leaders, authors, and trainers on the newest techniques and services available to enhance the quality of life for seniors today. Specifically, SCAN seeks to accomplish its purpose by the following educational and networking strategies.
  • To provide an opportunity for service providers to interact with other professionals in the field.
  • To provide a forum where information and ideas about new programs, services, workshops, and legislation can be exchanged.
  • To provide speakers and programs to keep members informed about current issues.

By-Laws

Article I - Name

The name of this organization shall be the Senior Coordinating Aging Network (SCAN).

Article II - Purpose

SCAN I (Oakland County) and SCAN II (Macomb County) is a non-profit coalition of individuals from public, private, and non-profit agencies who are interested in pursuing strategies and approaches for enhanced coordination of services and programs for the aging. Specifically, SCAN will seek to accomplish its purpose by the following educational and networking strategies.
  1. To provide an opportunity for service providers to interact with other professionals in the field.
  2. To provide speakers and programs to keep members informed about current trends.
  3. To provide a forum where information and ideas about new programs, services, workshops, and legislation can be exchanged.
Article III - Membership

Section 1. Membership

SCAN will be composed of professional individuals and representatives from public, private, or nonprofit organizations servicing older adults.

Section 2. Dues
All members shall be required to pay dues in the amount determined annually by the Executive Board. Membership shall run from January 1st through December 31st. Dues are payable in January of each year

Article IV – Meetings

Section 1. General Meetings

One general meeting of the membership-at-large shall be held every two months at such time and place as may be designated by the Executive Board of SCAN. Special meetings of the Executive Board may be held at any time upon the call of the Chairperson.

Section 2. Executive Board Meetings
The Executive Board shall meet regularly. Meetings shall be convened at the discretion of the Chairperson.

Section 3. Notice
No less than five (5) and no more than twenty (20) days prior to the scheduled meeting, a notice of every general meeting shall be given to each member of SCAN. Such notice shall state the date, time and location of such meeting.

Section 4. Quorum
At any general or special meeting, a 1/3 of membership shall constitute a quorum in the event a vote is necessary.

Article V – Officers

Section 1. Composition

The Executive Board of SCAN shall be comprised of a Chairperson, Vice-Chairperson, Secretary, Treasure and five (5) members-at-large elected by the general membership.

Section 2. Officers
Officers shall be elected for a two-year term. Elections shall be held in odd years.

Section 3. Member-at-large
Members-at-large shall be elected for a two year term. Elections shall be held in odd years.

Section 4. Nominations
A nominating committee comprised of at least two (2) members-at-large and one (1) member of the Executive Board shall make nominations. The Nominating Committee will be selected at the September general meeting. A slate of candidates shall be submitted to the Executive Board prior to presenting the slate at the November general membership meeting. All elections will be held at the January general meeting.

Section 5. Vacancy A vacancy may be filled for the unserved portion of the term by nomination and vote at a general meeting.

Article VI – Executive Board

Section 1. Chairperson

The Chairperson shall preside at all meetings at SCAN and of the Executive Board. He/She shall appoint all committees and act as a member ex-officio of all committees except the Nominating Committee. He/She may sign and execute in the name of SCAN, all authorized deeds, contracts, or other instruments, except in cases in which the singing and execution thereof, shall have been expressly delegated to some other officer or agent of SCAN, and shall perform such other duties as the membership may time to time direct.

Section 2. Vice-Chairperson
The Vice-Chairperson shall have all the powers and perform all the duties of the Chairperson in case of his/her absence or inability to act. He/she shall perform such other duties as the membership may from time to time direct.

Section 3. Treasurer
The Treasurer shall be responsible for collecting dues and disbursement of all monies. Monies shall be deposited in a SCAN bank account. Financial statements shall be submitted at each Executive Board meeting.

Section 4. Secretary
The Secretary shall be responsible for recording minutes of special meetings, and meetings of the Executive Board. The Executive Board shall approve the minutes. The Secretary shall be responsible for all correspondence to be sent at the discretion of the Executive Board. The Secretary shall also perform the other duties, which may be assigned by the Chairperson or Executive Board.

Section 5. Removal of Officers
Any officer may be removed from office by failure to attend three (3) consecutive meetings without valid excuse. The validity of the excuse is to be determined by the appropriate action of the Executive Board of SCAN.

Article VII - Financial Matters

Section 1.

The fiscal year of SCAN shall be January 1 through December 31.

Section 2.
The Executive Board shall prepare an annual budget report, to be  presented to the membership at the first general meeting convened at the beginning of each fiscal year.

Article VIII - Parlimentary Procedures

Section 1.

The Bylaws of SCAN may be suspended by a two-thirds vote of the registered members of the organization.

Section 2.
Roberts Rules of Order, latest edition shall be the governing Parliamentary Law of SCAN.

Article IX - Dissolution of the Organization
SCAN may be dissolved at any time by a two-thirds vote of the registered membership-at-large attending a special meeting convened for this specific purpose, providing written notification has been delivered to the registered membership-at-large not less than thirty (30) days prior to the scheduled meeting date.

Article X – Amendments

These Bylaws may be amended at any duly called regular or special meeting of SCAN by a two-thirds vote of all registered members present, providing that  notice of the proposed amendment has been given at a previous meeting or has been delivered by e-mail and the web site to the registered membership-at-large no less than fifteen (15) days prior to the scheduled meeting date. Amendments shall go into effect upon their approval.
